SchoolNet makes certain services available to individuals who register on the Site (“Registered Users”) and general visitors to the Site (“Visitors”) (Registered Users and Visitors are collectively referred to as “Users”). SchoolNet may make certain forums available on the Site that allow Registered Users the opportunity to post information on bulletin boards (collectively, “Forums”). Registered Users who participate in these Forums are solely responsible for the information and other content they post on and through these Forums and should be aware that when they voluntarily disclose personal information (e.g., name, e-mail address, telephone number) on or through these Forums, that such information is generally accessible to and may be collected and used by other Registered Users, as well as Visitors, and may result in unsolicited online and offline messages from such Users. Registered Users are encouraged to exercise discretion when providing personal information about themselves in and through Forums.
From time to time, SchoolNet may provide links on the Site that will allow You to visit the websites of third parties. Neither these websites nor the companies sponsoring these websites are controlled by SchoolNet. SchoolNet makes no representations concerning the information provided nor does SchoolNet endorse the products or services offered by these websites. Your use of these websites or their products or services is at your own risk. SchoolNet expressly disclaims all liabilities associated with these third party websites and product or services.
COMPLIANCE WITH LAWS
By accessing SchoolNet You acknowledge that You will comply with any and all local, county, district, state, and federal laws. You agree that You are not and will not use the Site as a means to purchase or solicit illegal activities.
LIMITATIONS ON USE
In connection with Your use of the Site, You agree that You shall not:
(a) transmit or communicate any data that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, invasive of another's privacy, hateful, or racially, ethnically or otherwise objectionable; (b) harm minors in any way; (c) impersonate any person or entity or falsely state or otherwise misrepresent Your affiliation with a person or entity; (d) forge headers or otherwise manipulate identifiers in order to disguise the origin of any content transmitted to other users; (e) transmit, access or communicate any content that You do not have a right to transmit under any law or under contractual or fiduciary relationships (such as inside information, proprietary and confidential information learned or disclosed as part of employment relationships or under non-disclosure agreements); (f) transmit, access or communicate any data that infringes any patent, trademark, trade secret, copyright or other proprietary rights of any party; (g) transmit or communicate any data that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment; (h) obtain or accumulate personal information about individual users or collect or store personal data about other users; (i) modify, delete or damage any information contained on the personal computer of any user; (j) "Stalk" or otherwise harass a computer user; (k) intentionally or unintentionally violate any applicable local, state, federal or international law and any regulations requirements, procedures or policies in force from time to time; (l) take control of a user’s computer by delivering advertisements that a user of a computer cannot close without turning off the computer or closing all sessions of the Internet browser for the computer; or (m) undertake any acts not expressly permitted under the Terms.
TERMINATION
SchoolNet may discontinue or suspend the Site at any time without notice, and SchoolNet may block, terminate or suspend Your access to the Members section of the Site at any time for any reason in its sole discretion, even if access to the Site continues to be allowed to other Users. Upon such suspension or termination, You must immediately discontinue use of the Site. You acknowledge and agree that SchoolNet shall not be liable to You or any third party for any termination or suspension of Your access to the Site.
INTELLECTUAL PROPERTY
This Site and its contents (“Content”) are protected by copyright and other intellectual property laws and may not be copied or imitated in whole or in part. All trademarks, service marks, trade dress and other intellectual property rights associated with the Site and the Content are the sole property of SchoolNet or its affiliates or partners. The Content is also protected as a collective work or compilation under U.S. copyright and other laws and treaties. All individual articles, columns and other elements making up the Content are also protected by such copyright laws and treaties. You agree to abide by all applicable copyright and other laws, as well as any additional copyright notices or restrictions contained on the Site. SchoolNet does not convey, through allowing access to the Site, any ownership rights in the Site or in any Content. You may not copy, modify, translate, transmit, distribute, adapt, reproduce, decompile, reverse engineer or disassemble any part of Site or the Content.
If You believe that a Web page hosted by SchoolNet is violating Your rights under U.S. copyright law, You may file a complaint of such claimed infringement with SchoolNet’s designated agent in the manner described below.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL SCHOOLNET, ITS AFFILIATES, LICENSORS OR SUPPLIERS BE LIABLE FOR ANY INCIDENTAL, INDIRECT, EXEMPLARY, PUNITIVE AND CONSEQUENTIAL DAMAGES, LOST PROFITS, OR DAMAGES RESULTING FROM LOST DATA OR BUSINESS INTERRUPTION RESULTING FROM THE USE OF OR INABILITY TO USE THE SITE, CONTENT, RESULTS OBTAINED, INFORMATION OR SERVICES WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT SCHOOLNET HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE FULLEST EXTENT PERMITTED BY LAW, THE REMEDIES STATED FOR YOU IN THESE TERMS ARE EXCLUSIVE AND ARE LIMITED TO THOSE EXPRESSLY PROVIDED FOR IN THESE TERMS. IN NO EVENT AND UNDER NO CIRCUMSTANCES SHALL SCHOOLNET’S LIABILITY EXCEED $500.00 IN ACCORDANCE WITH THIS AGREEMENT.
INDEMNIFICATION
YOU AGREE TO INDEMNIFY, HOLD HARMLESS AND DEFEND SCHOOLNET, AND ITS SUBSIDIARIES, AFFILIATES, OFFICERS, AGENTS, CO-BRANDERS OR OTHER PARTNERS, AND EMPLOYEES, AT YOUR EXPENSE, AGAINST ANY AND ALL THIRD PARTY CLAIMS OR DEMANDS, ACTIONS, PROCEEDINGS AND SUITS AND ALL RELATED LIABILITIES, DAMAGES, SETTLEMENTS, PENALTIES, FINES COSTS AND EXPENSES (INCLUDING, WITHOUT LIMITATION, REASONABLE ATTORNEY'S FEES AND OTHER DISPUTE RESOLUTION EXPENSES) INCURRED BY SCHOOLNET, DUE TO YOUR BREACH OF THE TERMS OR ARISING OUT OF YOUR ACTIONS, YOUR VIOLATION OF THE TERMS, OR YOUR VIOLATION OF ANY RIGHTS OF ANOTHER.
GOVERNING LAW, VENUE AND JURISDICTION
The Terms shall be governed and construed in accordance with the laws of the State of New York without giving effect to the conflict of laws principles thereof. You hereby expressly agree to irrevocably submit to the exclusive jurisdiction and venue of the Federal and State courts located in the State of New York, New York County for the purposes of any suit, action or other proceeding arising out of or based upon the Terms or the subject matter hereto.
SEVERABILITY
If any provision of this agreement shall be held or made invalid or unenforceable by a court decision, statute, rule or otherwise, the remaining provisions of this agreement shall not be affected thereby.
COMPLETE AGREEMENT
Except as expressly provided in a separate license, service or other agreement between You and SchoolNet, these Terms constitute the entire agreement between You and SchoolNet with respect to the use of the Site, its Content, any software or service, information, and supersede all discussions, communications, conversations and agreements concerning the subject matter hereof.
MODIFICATIONS
SchoolNet reserves the right to change or modify any provision of these Terms at any time in its sole and exclusive discretion.
USER SUBMISSION/VIEWPOINT CONTRIBUTOR TERMS AND CONDITIONS
PLEASE READ THESE USER SUBMISSION/VIEWPOINT CONTRIBUTOR TERMS AND CONDITIONS (“TERMS”) CAREFULLY. THESE TERMS WILL GOVERN YOUR AGREEMENT WITH SCHOOLNET, INC. (“SCHOOLNET” OR “WE” OR “OUR”) AND YOU AND/OR THE ENTITY YOU ARE AUTHORIZED TO REPRESENT (“YOU” OR “YOUR”).
WE MAY MODIFY THESE TERMS AT ANY TIME WITHOUT NOTICE TO YOU BY POSTING REVISED TERMS ON OUR WEBSITE. CONTINUED USE OF OUR WEBSITE CONSTITUTES YOUR BINDING ACCEPTANCE OF ANY MODIFICATIONS HERETO.
YOUR PARTICIPATION AS A CONTRIBUTOR IS ALSO GOVERNED BY THE TERMS OF SERVICE AND PRIVACY POLICY. IF THERE IS ANY DISPUTE BETWEEN THE TERMS OF SERVICE OR PRIVACY POLICY, THESE TERMS SHALL CONTROL.
I. TERMS OF LICENSE GRANT
The parties acknowledge that, as between You and SchoolNet, You will own all right, title and interest in and to the Submissions. For the purposes of these Terms, the term “Submission” shall include any and all comments, posts, content, media, materials or information submitted by You, and all derivative works, translations, adaptations or variations of same, regardless of the tangible medium, broadcast medium, format or form, now known or hereinafter developed or discovered.
General Postings
You hereby grant SchoolNet, its licensees, successor and assigns, a perpetual, irrevocable, non-exclusive, sublicensable, transferable right and license to use, edit, modify, reproduce, distribute, display, transmit, exhibit, broadcast, stream, synchronize, sell, license, assign or otherwise exploit the Submission, in whole or in part, in all media throughout the world, now known or hereafter discovered, including, without limitation, in websites, streams, motion pictures, television programs, books, magazines, websites, advertisements, promotions and publicity, all without further notice to, consent from or payment to You. You agree to forever waive and relinquish all moral rights or droit moral now or hereafter recognized in connection with Your Submission and the rights granted to SchoolNet hereunder.
You hereby further agree that SchoolNet, its licensees, successors and assigns, shall have the right to sell, license, assign and otherwise transfer any and all of the rights granted by You to SchoolNet under these Terms, and to display any advertising, publicity, promotional materials and distribution rights in connection with Your Submission. You acknowledge and agree that SchoolNet, its licensees, successors and assigns, will be entitled to retain any and all revenue generated from any sales, licenses, assignments and other transfers of the rights granted by You to SchoolNet hereunder, as well as any and all revenue generated by the display of any advertising, publicity, promotional materials or distribution rights in connection with Your Submission.
You hereby further agree that SchoolNet, its licensees, successors and assigns, shall have the right to use Your name, image, likeness, biographical material, and any other identifying information, including, without limitation, any information contained in Your Submission (collectively, “Personal Characteristics”), as may be amended by SchoolNet pursuant to these Terms, in any and all media now known or hereafter discovered, in the same manner as granted in connection with the Submission as a whole. You acknowledge and agree that SchoolNet, its licensees, successors and assigns, shall have the right to use or otherwise exploit Your Personal Characteristics, and may make any changes that any of them may deem necessary, in their sole discretion.
Notwithstanding the foregoing, SchoolNet shall have no obligation to exercise any of its rights under these Terms and shall not be bound to exploit the Submission in any manner whatsoever. SchoolNet shall be entitled, in its sole discretion, without notice and without limiting any and all other rights we may have under these Terms, at law or in equity, to (a) refuse to allow You to submit further Submissions, (b) remove and delete Your Submissions, (c) revoke Your registration and right to use the Submissions features; and (d) use any technological, legal, operational or other means available to enforce the terms of these Terms, including, without limitation, blocking specific IP addresses or deactivating Your registration.
Wiki Postings
The K12 Wiki (accessible through the Site here) has special rules with respect to the posting and contributing content. When using the K12 Wiki, you acknowledge and agree that: (a) the Wiki is provided for general information purposes only and provides a general discussion K12 topics, schools, education and related issues and should and may not be relied on, represented to be or used as a substitute for securing appropriate advice or professional consultation; (b) SchoolNet provides the Wiki as a forum for members of the public to discuss this information and that nothing in the Wiki constitutes the official opinion, position or view of SchoolNet; (c) SchoolNet is not responsible for the information provided in the Wiki and/or for any action taken or activity that occurs as a result of the information provided on the Wiki.
When contributing to the Wiki you agree that: (a) your contributions to the Wiki will be licensed to the general public under the Creative Commons Attribution 3.0 license; (b) attribution for your contributions will be given, to the fullest extent permitted by the applicable law, to the Wiki in the form of "SchoolNet K12 Wiki."
II. VIEWPOINT CONTRIBUTOR OBLIGATIONS
If You have received an invitation to create an Viewpoint on the Site, the following additional terms shall govern these Terms. You agree that You shall be permitted to create a Viewpoint on the Site related to Your area of expertise. In order to be permitted to continue posting to Your Viewpoint , You will be required to submit no less than three (3) Submissions per week. Such Submissions will automatically be posted to Your Viewpoint and You agree that such Submissions will conform to the terms hereof.
In addition, users of the Site will be permitted to post comments regarding Your Submissions. You will be required to monitor the content of such comments. If You believe that any comment violates the terms of these Terms, You shall notify SchoolNet of such violation.
III. LIMITATIONS ON USE

IV. REPRESENTATIONS AND WARRANTIES
You hereby represent, warrant and covenant that: (a) You have the power and authority to enter into these Terms; (b) You are the owner or licensee of all rights necessary and appropriate to grant the licenses and rights hereunder with respect to the Submissions and Personal Characteristics; (c) all elements of the Submission are original to You, or You have the right to grant the rights set forth in these Terms in connection with such elements; (d) the Submission do not contain any matter that is scandalous, violent, libelous, obscene, pornographic, or otherwise illegal or morally offensive; (e) the Submission does not infringe the rights of any third party, including any trade name, trademark, trade secret, or copyright rights; (f) the Submission does not invade or violate any right of privacy, personal or proprietary right, or other common law or statutory right; (g) the Submission is free and clear of any liens or claims with respect to the use of such Submission in the manner authorized herein; and (h) You have obtained all necessary permissions or consents to use any property or person appearing in the Submission.
You further hereby represent, warrant and covenant that: (i) You are a legal resident of the United States; (ii) You are over the age of 18; (iii) You have reviewed and agree to comply with these Terms and Conditions; and (iv) the contact information submitted in connection with this Submission is true and accurate.
V. FURTHER ASSURANCES
You agree that, if requested by SchoolNet, You will provide a signed document provide further assurances that SchoolNet has the right to use the Submission in accordance with the terms hereof and further confirming the representations and warranties and covenants made herein. Notwithstanding the foregoing, SchoolNet shall not be required to seek such further assurances prior to the exploitation of the Submission in any manner permitted hereby.
VI. INDEMNIFICATION
You agree to indemnify, defend and hold harmless SchoolNet, its parent, subsidiaries and affiliates, and their officers, directors and employees from and against any and all claims, suits, actions, losses, liabilities, damages, and expenses (including costs and reasonable attorneys’ fees) arising out of or in connection with: (a) the breach of any warranty or representation, undertaking or obligation under these Terms; or (b) or any use of Your Submission or Personal Characteristics in accordance with these Terms.
You agree to provide SchoolNet with: (i) prompt written notice of any claim covered under this section (“Covered Claim”), (ii) control over the defense and settlement of such Covered Claim using counsel reasonably acceptable to SchoolNet, and (iii) proper and full information and assistance to settle or defend any such Covered Claim. SchoolNet shall be able to participate in the defense of the Covered Claim with counsel of its choice at its own expense, and You shall not enter into any settlement without the SchoolNet’s written consent, which shall not be unreasonably withheld.
VII. LIMITATION OF LIABILITY AND GENERAL RELEASE
You hereby release, discharge and hold harmless SchoolNet, its parent, subsidiaries and affiliates, and their officers, directors and employees, and any third party (collectively, the “Released Parties”), from any and all claims, actions, damages, liabilities, losses, costs and expenses of any kind (including costs and attorneys' fees) arising out of, resulting from or in any way related to the provision and use of the Submission or Personal Characteristics, Your appearance in any program or advertising, claims for defamation, libel, slander, invasion of privacy, right of publicity, emotional distress or economic loss, or the exercise by SchoolNet or any of the other Released Parties, of any of the rights granted by You under these Terms, on any legal theory whatsoever, whether known or unknown, which You (or Your assigns, agents and/or representatives) ever had, now has, or in the future may have against the Released Parties including, without limitation, idea misappropriation, copyright infringement, personal injury, rights of privacy and publicity, false light, defamation, intentional or negligent infliction of emotional distress, or breach of contract.
THESE TERMS SHALL CONSTITUTE A FULL, FINAL, AND COMPLETE RELEASE, ACCORD AND SATISFACTION OF EACH AND EVERY RELEASED CLAIM THAT YOU HAVE OR MAY HAVE, AT ANY TIME, AGAINST ANY OF THE RELEASED PARTIES.
You agree that any action brought by You shall be limited in recovery to money damages. You shall not be entitled to equitable or injunctive relief, all of which You hereby knowingly waive. In no event shall You be permitted to prevent or inhibit the exhibition, distribution, broadcast or other use or exploitation of the Submission.
NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, IN NO EVENT SHALL SCHOOLNET BE RESPONSIBLE TO YOU OR ANY THIRD PARTY FOR ANY SPECIAL, INDIRECT, INCIDENTAL, PUNITIVE OR CONSEQUENTIAL DAMAGES INCLUDING, WITHOUT LIMITATION, LOST OR ANTICIPATED PROFITS ARISING OUT OF OR IN CONNECTION WITH THESE TERMS WHETHER UNDER THEORY OF CONTRACT, NEGLIGENCE, INDEMNITY, STRICT LIABILITY, OR OTHERWISE EVEN IF SCHOOLNET IS NOTIFIED OF THE POSSIBILITY OF SUCH DAMAGES.
VIII. TERMINATION
SchoolNet reserves the right to terminate these Terms and Your right to submit content at any time without notice to You.
IX. NOTICE
Any notice, request, instruction or other document to be given hereunder by You shall be sent either Federal Express or Certified Mail to:

With respect to any claim against SchoolNet, such notice shall be provided no later than ten (10) days following acquiring knowledge of such claim.
Any notice, request, instruction or other document to give hereunder by SchoolNet shall be sent to the most recent email address or physical mailing address that has been provided by You to SchoolNet, and the date of such mailing or delivery shall be deemed the date of such notice.
X. MISCELLANEOUS
These Terms constitutes the entire agreement of the parties, which supersedes any and all prior agreements, whether written or oral. The terms and conditions of these Terms and its performance will be binding on You and Your heirs, executors, administrators, successors and assigns. If any provision or provisions of these Terms shall be held to be invalid, illegal or unenforceable, the validity, legality and enforceability of the remaining provisions shall not in any way be affected or impaired thereby. The section headings herein are provided for convenience only and have no substantive effect on the construction of these Terms. The failure by a party to exercise any right hereunder shall not operate as a waiver of such party’s right to exercise such right or any other right in the future. These Terms shall be governed by the laws of the State of New York. The parties agree to the exclusive venue of the Federal and State courts located in the New York County, New York. These Terms may not be orally canceled, changed, modified or amended. You may not assign Your rights under these Terms except as approved by SchoolNet and any unauthorized, purported assignment will be null and void. SchoolNet and its successors, licensees and assigns, will have the unlimited right to assign these Terms and the rights granted by You under these Terms at any time, in whole or in part, to any party. You will execute any documents (after being afforded a reasonable opportunity to review and confirm the same) and do any other acts as may be reasonably required by SchoolNet, with SchoolNet to bear reasonable expenses related to Your execution of such documentation, provided SchoolNet is notified ahead of time and agrees to such expenses, to further evidence or effectuate the rights of SchoolNet as set forth in these Terms. You appoint SchoolNet as Your attorney-in-fact (which appointment is irrevocable and coupled with an interest), with full power of substitution and delegation, but only to execute any and all such documents, or perform such acts, which You fail to execute (after being afforded a reasonable opportunity to review and confirm the same).
